These Terms of Service ("Terms") govern your use of the website at livingsoillab.bio (the "Site") and the soil-analysis services described on it (the "Service"), each operated by GroundTruth Ag, Inc. 1. Who we are and how to reach us

2. What you're buying

The Service is a mail-in soil analysis kit. When you place an order during the Founder Pricing period, you are placing a pre-order for a kit that will ship on or about June 1, 2026 (the "Estimated Ship Date"). Each kit includes a sample-collection container, prepaid return mailer to our partner laboratory, online access to a digital report covering biology (microbial), fertility (NPK, macronutrients, micronutrients, pH, CEC), and carbon analyses, and interpretation guidance for that report.

3. Pre-order, charges, and pricing

Founder Pricing. During the Founder Pricing period, the price is $99 USD for the first one hundred (100) qualifying pre-orders. After Founder slots are filled, or after the Founder period ends, the price returns to the standard list price of $149 USD.

Authorization and charge. When you complete checkout, your payment method will be charged the full purchase price at the time of order, not when your kit ships. Sales tax, if applicable in your state, is calculated and added at checkout.

Estimated Ship Date. The Estimated Ship Date is June 1, 2026. We will notify you by email if there is a material change to that date. If we cannot ship by the date stated to you (including any updated date) and you have not consented to the delay, you may request a full refund under the cancellation terms in Section 4.

Founder-slot counter. Any "founder slots remaining" indicator displayed on the Site reflects the actual number of remaining Founder Pricing slots in good faith. Slots are filled in the order pre-orders are received.

4. Cancellation and refunds

Cancel any time before your kit ships, for a full refund. Send a request to support@livingsoillab.bio with the email address used at checkout. We will refund the full amount you were charged to your original payment method, typically within 5–10 business days of receipt of your cancellation request.

Once your kit ships, cancellation is no longer available. If your kit does not arrive within 21 days of the shipment notification email, contact us and we will investigate and, where appropriate, issue a replacement or refund.

If we cannot fulfill your pre-order, we will notify you and either offer you a revised ship date (which you may accept or decline) or refund you in full. You do not need to take any action to receive a refund in that case.

5. Sample submission and acceptable use

By submitting a soil sample, you represent that the sample was collected from a property:

The Service is intended for personal, non-commercial soil-analysis purposes. You may not resubmit, resell, or republish your report for commercial soil-advisory or regulatory-compliance purposes.

We may decline to test a sample that arrives damaged, contaminated, or in a form inconsistent with the kit instructions. If we decline a sample for these reasons, we will email you and either ship a replacement kit at no additional charge or refund you, at your election.

6. Geographic scope

We ship to addresses within the contiguous 48 U.S. states and the District of Columbia only. We do not ship to or accept samples originating from Alaska, Hawaii, Puerto Rico, the U.S. Virgin Islands, Guam, or any other U.S. territory, nor to P.O. Boxes or freight-forwarding addresses. Orders attempted from those geographies will be canceled and refunded.

7. The report is informational

The digital report and any recommendations included with it are educational and informational. They are not a substitute for site-specific professional agronomic, horticultural, environmental, or regulatory advice. You assume full responsibility for any action you take based on the report.

8. Limitation of liability

To the maximum extent permitted by applicable law, the Company's total liability arising out of or relating to these Terms, the Site, or the Service — regardless of legal theory — is limited to the amount you paid for the Service. The Company is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, crops, plants, or property value, even if advised of the possibility of such damages. Some jurisdictions do not allow these limitations; in those jurisdictions, the limitations apply to the maximum extent permitted by law.

9. Disclaimer of warranties

The Service is provided "as is" and "as available." The Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, except to the extent such disclaimers are not permitted by applicable law.

10. Intellectual property

The Site, the report templates, and the underlying analytical methods are owned by the Company or its licensors and are protected by U.S. and international intellectual-property law. You may use your own report for your own non-commercial purposes. You may not copy, modify, distribute, sell, or reverse-engineer any portion of the Site or the Service except as expressly permitted.

11. User accounts and communications

If you create an account, you are responsible for the security of your credentials. By providing your email address, you consent to receive transactional emails about your order. Marketing emails are opt-in and may be unsubscribed at any time using the link in any marketing email.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
